A licensing agreement in trademark law is a contract between a trademark owner (the licensor) and another party (the licensee) that grants the licensee the right to use the licensor's trademark for a specific purpose and period of time, in exchange for a fee or other compensation.

Under a licensing agreement, the licensor retains ownership of the trademark, but allows the licensee to use it for a particular purpose, such as manufacturing and selling products bearing the trademark or using the trademark in advertising or promotional materials. The licensing agreement typically sets out the terms and conditions of the arrangement, including the scope of the licensee's rights to use the trademark, the geographic area in which the trademark can be used, and the fees and royalties that the licensee must pay to the licensor.
